TERMS

     TheBabyOutlet.com Giveaway ("Sweepstakes") conducted by TheBabyOutlet.com, Inc., 1464 Old Country Road Plainview NY 11803 ("Sponsor"). By participating you agree to be bound by these Rules and the decisions of the Judges which are final in all respects.

1. NO PURCHASE NECESSARY.

2. ELIGIBILITY: This offer is only open to legal residents of the 50 United States who have browsed the Sponsors site and registered as TheBabyOutlet.com members. Sweepstakes commences July 1, 2005 and ends on December 31, 2005. Employees and agents of the Sponsor, its affiliates, and any supplier dealing with the operation of this Sweepstakes, and members of their immediate families and households of each, are ineligible. Void where prohibited by law; all applicable laws and regulations apply.

3. HOW TO PLAY: Anyone who would register as a member between July 1 until December 31 2005, and fill out all the information as requested in the registration page, will be entered automatically into the contest.

4. PRIZES AND ODDS: There are a total of five (5) prizes available. There is one $500 US savings bond Grand Prize. There is one Evenflo Phases high chair First Prize. Approximate Retail Value (ARV) $120. There is one Fisher-Price cradle swing. Approximate Retail Value (ARV) $80. There is one Fisher-Price Cordless Nursery Monitor. Approximate Retail Value (ARV) $40. There is one Fisher-Price Infant to Toddler Soothing Rocker. Approximate Retail Value (ARV) $30. Taxes (and any other expenses not specified in these Rules) are Prize Winners' responsibility and Prize Winners must supply Sponsor with Social Security numbers for tax purposes if so requested. Prizes are not transferable. No substitution or cash-in-lieu-of prizes will be awarded, except by Sponsor in the event an advertised prize is not available, in which case a similar prize of equal or greater value will be awarded. The odds of winning over the course of the promotion depend on the number of member registrations at the same period of time. However the estimated odds are: Grand Prize 1:2,000; First Prize 1:2,000; Second Prize 1:2,000; Third Prize 1:2,000; Fourth Prize 1:2,000; Fifth Prize 1:2,000. We will e-mail to all winners by January 15 2002, e-mails telling them about the prize and ask them to e-mail us back a confirmation about their address. If Prize Winners do not e-mail us back a confirmation by January 25, 2002 to claim his prize, the prize will not be awarded.

5. SPONSORS AND JUDGING: Sweepstakes sponsored by TheBabyOutlet.com. Sponsor is not responsible for detached labels or lost, late, misdirected or undeliverable mail. Judges' decisions are final with respect to all matters related to this Sweepstakes.

6. GENERAL: Any prize returned as undeliverable will result in a forfeiture of that prize. Prize Winners may be required to sign Affidavits of Eligibility, and Liability Releases, and, to the extent permitted by law, Publicity Releases, in which event Prize Winners must return such Affidavits and Releases within 14 days of attempted delivery of same, or prizes will be forfeited. Sponsor and its affiliates are not responsible for any damages or injuries that Prize Winners may incur from their acceptance or use of a prize.
